ENGAGEMENT LETTER

Thank you for choosing BVigilant as your trusted cybersecurity administrator. As one of Canada’s leading IT solution providers, our goal is to provide you with the best tools and protection for your business and your clients’ sensitive information. With BVigilant’s Essentials Package, you are taking a significant step towards safeguarding your operations from cybersecurity threats.

Our package offers a comprehensive “stack” of industry-leading security programs that are constantly monitored and upgraded. That means we stay ahead of the market to ensure that the software included in the package remains at the forefront of the field, we make the necessary changes and upgrades while you enjoy the convenience of a stable monthly payment.

The programs included in the Essentials package are only available to registered companies like BVigilant or through bulk purchases. This ensures that only licensed organizations with strict adherence to safety protocols can deploy these advanced security solutions to business users.

Our team is dedicated to upholding the highest standards of professionalism and integrity. By entrusting BVigilant as your cybersecurity administrator, you can focus on delivering exceptional service to your customers, knowing that your business and your clients’ sensitive information are safe.

To showcase your dedication to cybersecurity, you will also have the right to use the BVigilant shield logo in your website and client facing material, so all your clients know you are taking every possible step to safeguard their sensitive information.

STATEMENT OF WORK

This Statement of Work (SOW) is an agreement between the customer listed below (“Customer”) and Designer Technologies Inc. dba BVigilant, a British Columbia corporation, with a principal place of business at 1475 Banff Place, Victoria, BC V8P 2E7 (“BVigilant”) and is entered into as of the effective date set out below (the “Effective Date”). BVigilant and Customer are hereinafter individually referred to as a “Party” and collectively as the “Parties”. Customer agrees to notify BVigilant in writing if any of its contact information listed below changes.

  • On-Demand IT Support is available from Monday to Friday, 9 AM to 5PM PST. It is first come, first served, and the rate is $125 per hour. Minimum billing is one hour, then in 15-minute increments.
  • Suspicious event consulting (non-urgent incident response) – Handled Monday to Friday, 9AM-5PM PST.

Optional Add-Ons:

  • Penetration Testing (additional cost)
  • Suspicious event consulting- (After hours) The rate is $250 per hour. Minimum billing is one hour, then in 15-minute increments.

Once we have collected all the information and you have signed the Essentials agreement, we will send you a booking link to set up an onboarding call with one of our technicians. The last step is having your password manager reviewed and set up, as well as having our AI engines narrow the focus of your email protection. Through this period, there may be a bit of back and forth, but that is normal and part of ensuring we have a customized plan for your setup.

In the event that a cyber threat is detected, the security agent will likely resolve and remediate the issue before you are even aware of it. If a more comprehensive remediation or further action is required, BVigilant will work with the relevant software provider to solve the issue. Should an ongoing threat necessitate significant changes to your software, workflows, or hardware, BVigilant will notify you and help determine a remediation plan (additional costs may need to be charged to bring your devices back to a workable condition). Otherwise, rest assured that the security agent will operate seamlessly in the background, ensuring continuous protection without impeding your daily operations.

TERMS OF AGREEMENT

Job Duration

The duration of this agreement is set to the proposed term of the quote or until cancelled by either party as defined in the Master Service Agreement. Please also acknowledge you have read our Privacy Policy.

Exclusions/ Limitations

The BVigilant Essentials Package is meticulously crafted to defend your devices against cyber threats and malware, referred to here as “Viruses”. It’s crucial to recognize, however, that viruses already existing on a client’s system at the time of security solution deployment might not be eliminated without extra services, potentially leading to additional charges.

It’s essential to acknowledge that no security solution is infallible.  We strongly discourage downloading files from unknown or unverified sources. BVigilant cannot guarantee the absolute elimination of all viruses and malware or their immediate detection and removal.

It is the customer’s responsibility to notify BVigilant about all staffing or computer hardware changes so that the security agent can be removed/added to the appropriate computer(s) and all appropriate personnel. Upon receipt of the Customer’s request (detailing full name, email address, and position in the company), BVigilant requires 10 business days to complete the updates.

For a comprehensive understanding of services not covered under this package, please consult the Master Services Agreement (MSA) provided above. The following are specifically excluded from the BVigilant Essentials Package:

  • Costs related to the replacement of third-party programs or hardware affected by infections
  • Any form of insurance coverage or entitlements under any policies
  • Replacement of components rendered inoperable due to a security breach
  • The acquisition of incident reports as demanded by insurance firms, regulatory authorities, government entities, or law enforcement. Note that acquiring these reports will incur additional fees
  • Failures attributable to the client’s non-compliance with operational or maintenance guidelines issued by the manufacturers of the equipment or software that constitutes the client’s IT infrastructure
  • Only one business email domain will be protected unless specified in the statement of work. Email forwarding from other accounts into the protected business account is allowed. Forwarding setup not included in the onboarding.
  • Insurance coverage or rights to any policy’s payout.

Assumptions/Minimum requirements

The scheduling, fees, and provision of our services are based on the following assumptions and minimum requirements:

The Essentials package is designed to provide protection for most devices with up-to-date hardware and software. However, in the event that the security agent cannot be deployed properly on a specific device, BVigilant will offer guidance and solutions to bring your equipment up to the minimum required standards. Minimum and recommended standards for computer hardware are outlined in the chart below. If implementing the recommended solutions is not feasible or if the client chooses not to pursue them, BVigilant will release the client from any obligations related to the offering and refund any payments made.

Our goal is to ensure that all devices are adequately protected and meet the required security standards. If there are any limitations or challenges in implementing the security agent, BVigilant will closely collaborate with you to find the best possible resolution or provide a suitable alternative.

Please note that these exceptional cases are rare, as the Essentials package is designed to be compatible with most devices that have up-to-date hardware and software.

In order to upkeep and improve our security services, you agree that BVigilant or its designated third party affiliate may transfer information about the results of processed files, information used for URL reputation determination, security risk tracking, and statistics for protection against spam and malware. Any information obtained in this manner does not and will not contain any personal or confidential information.

ACKNOWLEDGEMENTS

By entering into this SOW, Customer agrees and acknowledges that this SOW, together with the Master Services Agreement, Privacy Policy and any non-disclosure agreement between the Parties, forms the “Agreement” between the Parties. This SOW may be executed electronically and in counterparts, which taken together shall form one legal instrument.
